OVERVIEW

The IES website is owned and operated by Informed Energy Solutions Inc. (“IES”). Throughout the site, the terms “we”, “us” and “our” refer to IES. IES offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

Any new features or tools which are added to the current store shall also be subject to these Terms of Service. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Our website is hosted on Squarespace. They provide us with the online platform that allows us to present and sell our products and services to you.

SECTION 1 - ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 - GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information), may be transferred unencrypted and involve:
(a) transmissions over various networks; and
(b) changes to conform and adapt to technical requirements of connecting networks or devices.

Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. This site may contain certain historical information. Historical information is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. Prices for our products are subject to change without notice.

SECTION 5 - PRODUCTS OR SERVICES (if applicable)

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor’s display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis.

We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us.

We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order.

These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address.

In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the order was made.

We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

SECTION 7 - OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement.

We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new services and/or features through the website (including the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.

Certain content, products and services available via our Service may include materials from third-parties.

Third-party links on this site may direct you to third-party websites that are not affiliated with us. RETURNS AND REFUNDS

GENERAL TERMS AND CONDITIONS OF SALE FOR INFORMED ENERGY SOLUTIONS INC.

These Terms and Conditions of Sale govern the sale of Goods by Informed Energy Solutions Inc. (“IES”) to a third-party purchaser (“Buyer”). All transactions between Buyer and IES are subject to these terms and conditions, which shall take precedence over the terms and conditions contained in Buyer’s order or in any other form issued by Buyer, whether or not such form has been acknowledged or accepted by IES.

Buyer shall be deemed to have full knowledge of the terms and conditions herein and these terms and conditions shall be binding upon Buyer if either the Goods referred to herein are delivered to and accepted by Buyer, or if Buyer does not within five (5) days from the date hereof deliver to us a written objection to these terms and conditions or any part thereof.

No waiver, alteration, or modification of these terms and conditions shall be binding upon IES unless made in writing and signed by a duly authorized representative of IES.

  1. QUOTATIONS AND ORDER CONFIRMATION

(a) Unless otherwise stated, IES quotations shall be null and void unless accepted by Buyer within fourteen (14) days from the date of quotation.

(b) An acceptance and official confirmation of Buyer’s order (in the form of IES’s issued sales order) shall constitute the complete agreement, subject to the terms and conditions of sale set forth herein, and shall supersede all previous quotations, orders, or agreements.

(c) Prices are in Canadian Dollars and are exclusive of all duties, costs (including packing and transportation), and taxes of any kind. Buyer will pay all such duties, costs, tariffs, and taxes and will indemnify and hold IES harmless for any liability arising in connection thereto.

(d) Prices for undelivered Goods may be increased without notice to Buyer in the event of any increase in IES’s cost, change in market conditions, or any other causes beyond IES’s reasonable control.

  1. PAYMENT

(a) Payment terms will be stated in IES’s order confirmation. If no payment terms are provided in the order confirmation, payment is required in full prior to shipment.

(b) Payment by bank transfer shall be deemed effected on the date the amount paid is credited to IES’s bank account.

  1. DELIVERY AND TITLE

(a) Unless otherwise agreed upon in writing, all sales are FOB Shipping Point, Freight Prepaid and Added. Delivery will be deemed complete and all risk of loss, destruction, and damage to Goods will pass to Buyer upon delivery of Goods to the carrier at IES’s facility.

Buyer shall reimburse IES for all transportation costs prepaid by IES. Buyer is solely responsible for all insurance costs and risks associated with transport of the Goods, including loading onto the carrier.

(b) IES shall package Goods according to normal industry standards and does not guarantee that any special care or materials will be used.

(c) In no case shall the carrier be deemed as IES’s agent.

(d) Buyer acknowledges that time of delivery is not of the essence, that any delivery dates indicated by IES are estimates only, and that IES is not liable for delays in delivery or failure to perform due to causes beyond IES’s reasonable control.

(e) In the event delivery is delayed due to Buyer fault, including failure to provide necessary information, payment, or acceptance of delivery, IES may extend delivery dates or cancel orders.

(f) IES reserves the right to make partial shipments and submit invoices for partial shipments.

  1. INSPECTION AND ACCEPTANCE

(a) Buyer shall perform inspections or tests deemed necessary no later than five (5) days following delivery.

(b) Any discrepancy in quantity or condition must be reported within five (5) days.

(c) Returned Goods must be in original condition and packaging.

  1. CHANGES AND CANCELLATION

IES will do its best to accommodate buyers; however, if expenses are incurred, IES reserves the right to charge for such expenses.

Orders accepted by IES are not subject to changes or cancellation without written consent from IES.

Where cancellation is approved, IES may charge ten percent (10%) of the total purchase price plus any reasonable costs already incurred.

DESIGN DEPOSIT REFUND POLICY

A deposit is required to begin the planning and feasibility process for custom designed projects.

This deposit is refundable under the following conditions:

  • The agreed budget is insufficient for the quoted scope;

  • Grid connection is not permitted by the local utility provider;

  • Rebates, loans, or grant applications are rejected;

  • Unexpected costs arise beyond IES’s reasonable control.

IES also reserves the right to cancel the project and refund the initial deposit at its sole discretion.

  1. RETURNED GOODS

No goods may be returned to IES without prior written permission.

IES reserves the right to decline returns or accept them subject to a handling/restocking fee of twenty percent (20%) of the total purchase price.

Refunds will be issued within thirty (30) days of receipt of returned items provided they are in original condition with all packaging and accessories included.

IES reserves the right to deduct merchant fees or transaction costs from refunds.

Items marked “final sale” are not eligible for return or exchange.

Made-to-order items and custom-cut materials are NON-REFUNDABLE and NON-RETURNABLE.

  1. INSTALLATION

Examples of installed systems provided by IES are for reference only.

All materials must be installed according to local ESA regulations.

Any product that has been installed is no longer eligible for return.

  1. LIMITED WARRANTY AND LIMITATION OF LIABILITY

(a) The original manufacturer’s warranty shall apply to Goods sold to Buyer to the extent assignable by IES.

(b) IES makes no independent warranty on behalf of manufacturers.

(c) IES disclaims all implied warranties including merchantability and fitness for a particular purpose.

(d) In no event shall IES be liable for indirect, incidental, special, or consequential damages including loss of profit, revenue, or data.

  1. COMPLIANCE

Buyer shall comply with all applicable import/export laws and regulations.

IES does not guarantee compliance with local fire, building, health, electrical or other safety codes.

  1. PRODUCT LIABILITY

Buyer acknowledges the risks associated with the Goods and undertakes to communicate all warnings and instructions to downstream purchasers.

  1. CONFIDENTIALITY

Buyer shall keep confidential any information designated confidential by IES and shall not disclose such information without prior written consent.

  1. FORCE MAJEURE

IES shall not be liable for delays or failures caused by events beyond its reasonable control including acts of God, war, labor disputes, transportation delays, supplier failures, or natural disasters.

  1. NON-WAIVER

Failure by IES to enforce any provision shall not constitute waiver of that provision.

  1. SEVERABILITY

If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect.

  1. APPLICABLE LAW AND JURISDICTION

These terms and conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes shall be submitted exclusively to the courts located in Toronto, Ontario.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

 

SHIPPING POLICY

Procurement Timelines

IES will do its utmost to ensure all orders are processed in a timely manner. Orders are typically processed within 2–4 business days, excluding weekends and holidays. Once an order has been processed and prepared for shipment, the customer will receive an email confirmation and shipping notification.

Shipping Timelines

IES strives to deliver all shipments to customers as quickly as possible. Most orders are expected to be processed and shipped within 1–2 weeks. If any items are backordered or out of stock, IES will contact the buyer directly to provide notice of the delay.

Shipping with Different Carriers

Due to the multiple components included in solar kits, not all items may ship together. IES reserves the right to ship purchased kits using different shipping carriers and separate delivery timelines.

Shipping & Handling Fees

Shipping fees are calculated based on previous shipments of similar size and weight. If actual shipping costs exceed the calculated amount, IES will notify the buyer and the buyer will be responsible for the additional difference.

If shipping costs are significantly lower than the estimated amount charged, IES may, at its sole discretion, rebate a portion of those fees to the customer.

NOTE: Partial Skid Fees

When shipping solar panels, partial skid fees apply unless a complete pallet is ordered. Partial skid fees typically range from $75–$85 and are included in the kit pricing.

Pick-Up Orders

IES may allow customers to pick up orders directly under specific circumstances. Pick-up arrangements must be coordinated directly between IES and the buyer in advance.

Dangerous Goods Transportation

  • Customers picking up orders containing dangerous goods, including flooded batteries, must possess any valid licenses or certifications required for the transportation of dangerous goods in accordance with applicable Canadian regulations.

  • Oversized items such as large solar panels and aluminum racking may not fit in standard vehicles. Customers are solely responsible for ensuring their vehicle is suitable and capable of safely transporting such items.

  • IES and its affiliate partners are not responsible for how customers pack, secure, or transport pick-up items. Even where affiliate warehouses assist with loading items into trailers or vehicles, the buyer remains fully responsible for the safe and proper transportation of all goods.
